GENERAL TERMS & CONDITIONS

Version applicable as of 1 May 2026.

1. Subject Matter

These General Terms and Conditions of Sale (hereinafter the "GTC") are entered into between:

Sous Vide Consulting UG (haftungsbeschränkt, Legal Information), Brunnwiesenstr.9, 73760 Ostfildern, Germany (hereinafter referred to as "SVC"),

and any natural or legal person acting exclusively in the course of their professional or commercial activity and making a purchase through SVC's website (hereinafter referred to as the "Buyer").

These GTC define the terms and conditions applicable to all sales of products and, where applicable, services offered by SVC through its website.
SVC operates exclusively with business customers. Sales to consumers within the meaning of Section 13 of the German Civil Code (BGB) are excluded.
By placing an order, the Buyer declares that they are acting exclusively as a business customer or entrepreneur within the meaning of Section 14 BGB and not as a consumer.

2. Conclusion of the Contract

2.1 The products and services presented on SVC's website constitute an invitation to business customers to submit an offer to purchase and do not, in themselves, constitute a binding contractual offer by SVC.
2.2 By placing an order on SVC's website, the Buyer submits a binding offer to purchase the selected products or services.
2.3 Receipt of the order by SVC is confirmed electronically. This confirmation of receipt does not necessarily constitute acceptance of the order.
The contract is concluded when SVC expressly accepts the order, in particular by sending an order confirmation by e-mail, or by dispatching the goods.
SVC reserves the right to refuse an order, in particular in the event of product unavailability, an obvious error in the price or product description, payment problems or for any other legitimate reason.
2.4 Information relating to products, including descriptions, dimensions, illustrations and technical specifications, is subject to minor changes that do not affect the essential conformity of the product ordered.

3. Delivery

3.1 SVC delivers products to the addresses provided by the Buyer when placing the order, in the countries offered at the time of ordering.
3.2 Delivery times stated on the website or in the order confirmation are indicative only, unless a binding delivery period has been expressly agreed in writing.
Delivery periods begin to run upon conclusion of the contract and, in the case of advance payment, upon receipt of payment by SVC.
3.3 In the event of an anticipated delivery delay, SVC shall inform the Buyer as soon as reasonably possible.
SVC shall not be liable for delays resulting from circumstances beyond its control, including delays or failures by carriers, supply difficulties, strikes, disruptions to supply chains or any event constituting force majeure.
3.4 In the event of temporary unavailability of a product, SVC shall inform the Buyer of the expected availability date.
If a product becomes permanently unavailable after conclusion of the contract and SVC is not responsible for such unavailability, SVC shall inform the Buyer and, where applicable, refund any amounts already paid for the product concerned.
3.4 Delivery times stated by SVC are indicative only, unless a binding delivery period has been expressly agreed in writing.
A delivery delay attributable to the carrier, a logistics service provider or any other circumstance beyond SVC's control shall not, in itself, constitute grounds for cancellation of the order by the Buyer. In the event of a delivery delay, the Buyer shall grant SVC a reasonable additional period to complete the delivery, insofar as such requirement is provided for by the applicable legal provisions. The Buyer may only request cancellation of the order or termination of the contract due to a delivery delay under the conditions and within the limits provided for by applicable law.

4. Packaging and Delivery Costs

4.1 Packaging and delivery costs shall be charged to the Buyer in accordance with the rates indicated during the ordering process.
The amount of delivery costs depends in particular on the destination country, weight, dimensions and selected shipping method.
4.2 Express deliveries or specific shipping methods may be offered upon request. Any additional costs associated with such services shall be borne by the Buyer, unless otherwise agreed in writing.
4.3 SVC reserves the right to select the appropriate carrier, unless otherwise agreed with the Buyer.

5. Prices and Payment

5.1 The applicable prices are those displayed on SVC's website at the time the order is placed.
Unless otherwise stated, prices are expressed in euros and are exclusive of value added tax (VAT). The applicable VAT shall be charged in accordance with the applicable legal provisions.
The VAT treatment depends in particular on the destination country and the Buyer's tax status.
For intra-Community supplies to a business customer holding a valid VAT identification number, the supply may, where the legal requirements are met, be invoiced without VAT, with the Buyer being responsible for accounting for VAT under the reverse charge mechanism in accordance with the applicable tax rules.
A business customer who does not have a valid VAT identification number, in particular a self-employed person or micro-entrepreneur, shall be invoiced including VAT in accordance with the applicable VAT rules. In this case, the Buyer must enter the following wording in the field reserved for the VAT identification number: "Business customer without a VAT identification number".
By placing an order as a business customer (even if the field reserved for the VAT identification number has been incorrectly completed), the Buyer confirms that they are acting in the course of their professional or business activity and not as a private consumer.
The Buyer is responsible for the accuracy of the information relating to their business and, where applicable, their VAT identification number. In particular, the Buyer is responsible for ensuring that the VAT identification number provided to SVC is valid and corresponds to their business.
5.2 The payment methods available are those offered on SVC's website at the time the order is placed, including bank transfer, PayPal and payment by credit or debit card via Stripe.
5.3 In the event of payment by bank transfer, the Buyer undertakes to make payment within the period specified when placing the order or on the invoice.
Unless expressly agreed otherwise by SVC, the goods shall only be dispatched after receipt of full payment.
5.4 In the event of late payment, SVC shall be entitled to claim late payment interest and other costs provided for by the applicable legal provisions governing commercial transactions between business customers.
SVC also reserves the right to suspend the execution of pending orders until all outstanding amounts have been paid in full.
5.5 – Retention of Title - The goods delivered shall remain the property of SVC until all claims arising from the relevant business relationship have been paid in full, to the extent permitted by applicable law.

6. No Right of Withdrawal

6.1 Sales made by SVC are exclusively intended for business customers and entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB). Contracts with consumers within the meaning of Section 13 BGB are not concluded.
6.2 Consequently, the business customer does not have any statutory right of withdrawal applicable to contracts concluded with consumers. Any cancellation of an order after conclusion of the contract and any return of goods are excluded, unless expressly agreed in advance in writing by SVC.
6.3 Any exceptional return of goods accepted by SVC shall be subject to a prior agreement specifying the conditions of the return and, where applicable, the applicable costs. For hygiene reasons, vacuum bags cannot be returned or exchanged.
6.4 The business customer's statutory rights regarding liability for defects in the goods remain unaffected.

7. Warranty and Claims for Defects

7.1 The business customer is required to inspect the goods immediately upon receipt and, in particular, to verify their quantity, conformity with the order and the absence of apparent defects or damage.
Any apparent defect, discrepancy in quantity or delivery error must be reported to SVC in writing without delay and no later than within 3 business days of receipt of the goods.
In the absence of a complaint within this period, the goods shall be deemed accepted with regard to apparent defects, discrepancies in quantity and delivery errors, subject to the mandatory provisions of Section 377 of the German Commercial Code (HGB).
7.2 Defects that could not be detected during the initial inspection must be reported to SVC in writing without delay after discovery. A defect notification must be sufficiently specific to enable SVC to identify the issue concerned.
7.3 In the event of a defect covered by the applicable statutory warranty, SVC shall, in accordance with the statutory provisions, be entitled to repair or replace the goods before the Buyer makes any other claim, insofar as permitted by law.
7.4 The warranty does not cover damage resulting in particular from:

- use contrary to the manufacturer's instructions,
- improper or abusive use,
- normal wear and tear,
- modification or repair carried out without authorisation,
- use of the goods under conditions not intended by the manufacturer,
- damage caused by third parties or external circumstances.

7.5 Any intervention or repair carried out by the Buyer or a third party without the prior express authorisation of SVC or the manufacturer may result in the loss of warranty rights to the extent that such intervention caused the defect identified.

8. Limitation of Liability

8.1 SVC shall be liable in accordance with the applicable legal provisions.
8.2 SVC shall not be liable for damage resulting from improper or inappropriate use of the products by the Buyer.
8.3 To the extent permitted by law, SVC shall not be liable for indirect or consequential damages, including loss of profits, loss of business, loss of data or loss of opportunities, where such damages result from slight negligence and do not arise from a breach of a material contractual obligation.
8.4 The limitations of liability set out in these GTC shall not apply in cases of intentional misconduct or gross negligence, injury to life, body or health, mandatory liability under applicable product liability legislation, or in any other cases where limitation of liability is legally prohibited.
8.5 SVC's liability for breach of material contractual obligations shall remain governed by the applicable legal provisions.

9. Personal Data Protection

Personal data provided by the Buyer shall be processed in accordance with applicable data protection regulations, in particular the General Data Protection Regulation (GDPR).
The data is used in particular to process orders, arrange delivery, manage payments, respond to customer enquiries and fulfil SVC's legal obligations.
Data may be transferred to service providers involved in the performance of the contract, in particular carriers and payment service providers, to the extent necessary for the performance of their duties.
For further information, the Buyer is invited to consult the privacy policy published on SVC's website.
The Buyer is responsible for keeping their customer account login credentials confidential and must take all necessary measures to prevent their use by unauthorised third parties.

10. Intellectual Property

All elements of SVC's website, including texts, photographs, illustrations, logos, trademarks, graphics, videos, documents, catalogues, software and other content, are protected by applicable intellectual property laws.
They remain the property of SVC or their respective rights holders.
Any reproduction, representation, modification, adaptation, distribution or commercial use, in whole or in part, without the prior written authorisation of the rights holder is prohibited.

11. Product Availability and Price Changes

SVC depends in particular on its suppliers and manufacturers for the supply of certain products.
In the event of a change in the characteristics of a product by the manufacturer or the unavailability of a product, SVC shall inform the Buyer as soon as reasonably possible.
Where applicable, SVC may offer a replacement product with equivalent characteristics.
Prices may be changed at any time. The price applicable to an order is the price in force at the time the contract is concluded.

12. External Links

SVC's website may contain links to websites operated by third parties.
SVC has no control over the content of these websites and shall not be liable for their content or availability.
The presence of a link to a third-party website does not constitute a recommendation or endorsement of its content by SVC.

13. Packaging and Regulatory Compliance

SVC complies with the applicable legal obligations regarding packaging and extended producer responsibility (EPR) in the countries where it markets its products.
Where required by applicable regulations, SVC is registered with the competent organisations, participates in appropriate collection and recycling systems and/or fulfils the corresponding financial and other obligations.
Information relating to registrations, unique identification numbers and competent organisations shall be provided and displayed by SVC where required by applicable regulations.

14. Validity of the GTC and Dispute Resolution

14.1 By placing an order, the Buyer acknowledges having read and accepted these GTC.
The Buyer also declares that they are acting exclusively in the course of their professional or business activity.
14.2 These GTC shall apply to all business relationships between SVC and the Buyer, unless otherwise agreed in writing.
The Buyer's general terms and conditions shall only apply if expressly accepted by SVC in writing.
14.3 SVC reserves the right to amend these GTC for future orders. The GTC applicable to an order are those accepted by the Buyer at the time the contract is concluded.
14.4 These GTC and the contractual relationship between SVC and the Buyer shall be governed by German law, excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG), to the extent that such exclusion is legally permissible.
14.5 For any dispute arising from or in connection with the contractual relationship between SVC and the business customer, the competent courts shall be those having jurisdiction over the registered office of SVC in Ostfildern, Germany.
This clause shall apply to the extent that such choice of jurisdiction is legally permissible.
Mandatory statutory provisions relating to jurisdiction shall remain applicable.
14.6 If any provision of these GTC is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall, to the extent permitted by law, be replaced by a valid provision that most closely reflects the economic purpose pursued by the original provision.
